These Terms of Service (“Terms”) are a binding agreement between you and So Super (“Locations So Super”, “we”, “us” or “our”) governing your access to and use of our store locator, map and directory application, including the Shopify app, the hosted (“standalone”) platform, the dashboard, the public API, our website and related services (together, the “Service”).
By creating an account, installing the app, clicking to accept, or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you represent that you have authority to bind that business, and “you” refers to both you and that business. If you do not agree to these Terms, do not use the Service.
Locations So Super lets merchants publish and manage store or stockist locations, maps, SEO-friendly directory and landing pages, opening hours, tags, custom fields, translations and analytics. The Service is available (a) as a Shopify app installed from the Shopify App Store and (b) as a hosted platform with its own account and, optionally, a custom domain. Feature availability depends on your subscription plan; certain features (such as API access, Liquid template editing and multi-language support) are limited to higher-tier plans.
The Service is offered on a subscription basis. New hosted accounts may start with a free trial (currently 14 days) without a credit card; development stores are free. Plan features, limits (such as the number of locations) and current prices are shown on our pricing page and at checkout.
We may change our prices from time to time. If we increase the price of a plan you are subscribed to, we will give you notice (by email or through the Service) before the change takes effect on your account. If you do not agree to the new price, you may cancel before it takes effect; continued use after the effective date constitutes acceptance of the updated price.
You agree not to, and not to allow others to, use the Service to:
We may investigate and take action against prohibited use, including removing content, suspending or terminating accounts, and reporting illegal conduct to authorities.
“Merchant Content” means the locations, custom fields, tags, images, text, translations and other materials you (or your users) upload, import or publish through the Service.
Certain plans include access to our public REST API. You are responsible for keeping your API keys secret and for all use of the API under your keys. API access is subject to plan limits, rate limiting and the acceptable-use rules above. We may throttle, suspend or revoke API access for abuse or overuse. Requests to the API are logged for security and diagnostics as described in our Privacy Policy.
The Service — including its software, templates, themes, designs, text, graphics, logos and the “Locations So Super” name and marks — is owned by us and our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes and to publish your storefront locator. Except for your Merchant Content and your own store branding, you acquire no ownership in the Service. You may not use our name or marks in your marketing without our prior written consent.
If you provide suggestions, ideas or other feedback about the Service, we may use and disclose it without restriction or obligation to you, and you assign to us all rights in such feedback.
Our collection and use of personal data is described in our Privacy Policy. For Merchant Content that includes personal data, you act as the controller and we act as your processor; you are responsible for having a lawful basis and for responding to requests from your own customers. Where a data-processing agreement applies, it governs that processing.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT RESULTS (INCLUDING SEARCH RANKINGS, ANALYTICS OR MAP/GEOCODING ACCURACY) WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to defend, indemnify and hold harmless So Super and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your Merchant Content or other content you publish; (b) your use or misuse of the Service; (c) your violation of these Terms or any law or third-party right; or (d) your relationship with your own customers. We will notify you of any such claim, and you will control the defense with counsel we reasonably approve; we may participate at our own expense and may assume the defense if you fail to do so. You will not settle any claim in a way that imposes liability on us without our prior written consent.
On termination or cancellation, your right to use the Service ends and your public locator may stop being served. Before terminating, you may export your location data (for example via CSV export or the API). After termination we will delete Merchant Content and account data in line with the retention practices in our Privacy Policy, except where we must retain it for legal or billing reasons.
We may modify, suspend or discontinue any part of the Service (including features, plans and limits) at any time, and we may update these Terms from time to time. When we change these Terms, we will revise the “Last updated” date above and, for material changes, provide notice through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-laws principles. Please read the following arbitration provision carefully — it affects your legal rights.
Informal resolution. Before starting a formal proceeding, the party with a dispute will contact the other at [email protected] and the parties will attempt in good faith to resolve it for at least thirty (30) days.
Binding arbitration. Any dispute not resolved informally will be finally resolved by binding individual arbitration administered by a nationally recognized arbitration provider under its then-applicable rules, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this provision. The arbitration will take place in Illinois, and the arbitrator’s decision may be entered in any court of competent jurisdiction.
Class-action waiver. TO THE EXTENT PERMITTED BY LAW, ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS, AND NOT AS A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. Either party may still bring an individual action in small-claims court, and either party may seek injunctive relief in court to stop unauthorized use or infringement of the Service or intellectual property.
